Terms of service
These Terms of Service ("Terms") are between you and Shadstone Limited, a company incorporated in Hong Kong SAR ("we", "us", "our"), which operates RankingSolution. They govern access to and use of the RankingSolution marketing site, the operations console, and related services (the "Service"). By accessing or using the Service you agree to these Terms. If you use the Service on behalf of an organization, you confirm you have authority to bind that organization. Where we and your organization have signed a separate written agreement, that agreement takes precedence over these Terms to the extent they conflict.
1. What the Service is
RankingSolution is a service platform for multi-domain portfolio operations: domains and DNS visibility, infrastructure inventory, search insights, SEO tooling, signals, proposals, tasks, and related workflows. It is not offered as unlimited public self-serve SaaS. Access to the console is granted by RankingSolution / Shadstone and scoped by role and domain grants.
2. Accounts and authentication
- Console login is via GFAVIP Wallet SSO only. We do not issue RankingSolution passwords.
- You must keep your GFAVIP Wallet credentials and devices secure.
- A valid identity may authenticate; visibility of data depends on role (admin, member, client) and domain grants.
- New non-staff users may land with no domain grants until an administrator grants access.
- We may suspend or revoke access if these Terms are violated or if needed to protect the Service.
3. Acceptable use
You agree not to:
- Probe, scan, or attack the Service except with our prior written permission
- Bypass or attempt to bypass role, domain grant, budget, or authentication controls
- Use the Service to violate law, third-party rights, or third-party terms of connected platforms
- Upload malicious code or content that is unlawful or abusive
- Resell or sublicense the Service except as agreed in writing
4. Customer content and integrations
You retain rights to content and configuration you provide. You grant us a license to host, process, and display that content as needed to operate the Service. When you connect third-party platforms (DNS, hosting, analytics, SEO data, CMS, identity), you authorize us to access and process data from those platforms as required for the features you use. You are responsible for having the rights and authority to connect those accounts.
5. AI-assisted proposals
Some features draft SEO copy or recommendations using automated systems. Drafts are subject to quality checks and, by design, require human approval before publishing. You are responsible for reviewing outputs before approval. We do not guarantee rankings, traffic, or business results.
6. Agent / MCP access
If agent or MCP access is enabled for your account, tools are role-scoped and domain-scoped under the same permission model as human users. Spend-related tools are subject to the same budget guards. You are responsible for actions taken by agents using your credentials or tokens.
7. Fees
Pricing for RankingSolution is agreed with you directly ("talk to us"). There is no public self-serve checkout on the marketing site. Tooling run costs inside the console (for example SEO API usage under Smart Run) may be metered separately and subject to budgets you or we configure. Unpaid fees may result in suspension.
8. Intellectual property
The Service, including software, design, and branding (including the RankingSolution name and logo), is owned by us or our licensors. These Terms do not grant you ownership of the Service.
9. Disclaimer
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted or error-free, or that third-party integrations will remain available.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE AND OUR AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM.
11. Indemnity
You will defend and indemnify us against claims arising from your content, your use of the Service in violation of these Terms, or your connection of third-party accounts without authority.
12. Termination
You may stop using the Service at any time. We may suspend or terminate access for breach, risk, non-payment, or discontinuation of the Service. Provisions that by nature should survive (including IP, disclaimers, limitations, and indemnity) will survive termination.
13. Data protection
Our handling of personal data is described in the privacy policy. Where we process personal data on your behalf, you are the controller and we are the processor, and we will enter into a data processing agreement on request.
14. Third-party platforms
The Service reads from and writes to platforms you connect, including DNS, hosting, analytics, SEO data, and CMS providers. Those platforms are controlled by their own operators and terms, and they remain authoritative for billing, security, and DNS. We are not responsible for their availability, pricing, or changes to their APIs. Verify material operational decisions with the provider before acting on what the console displays.
15. Force majeure
Neither party is liable for a failure to perform caused by events beyond its reasonable control, including outages at upstream providers, network failures, acts of government, or natural events.
16. Governing law and disputes
These Terms are governed by the laws of the Hong Kong Special Administrative Region, without regard to its conflict of laws rules. You and we submit to the exclusive jurisdiction of the courts of Hong Kong SAR. Nothing here removes a consumer protection right you have under the law of the country where you live, where that right cannot be waived by agreement.
17. General
If a provision is held unenforceable, the rest stays in force. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our written consent. We may assign them to an affiliate or in connection with a transfer of the business. These Terms, together with any signed agreement between us, are the entire agreement on this subject.
18. Changes
We may update these Terms by posting a revised version on this page. Material changes will update the effective date. Continued use after changes constitutes acceptance.
